An arrangement was made to enable companies that lost capital or are in debt to get rid of this situation. The Communiqué Amending the Communiqué on the Procedures and Principles Regarding the Application of Article 6102 of the Turkish Commercial Code No. 376 was published in the Official Gazette and entered into force.
With the amendment, a regulation was made in the legislation regarding the procedures and principles to be followed and the measures that can be taken by companies that have lost capital or are deeply in debt.
Accordingly, additional regulations were put into effect on the calculations in order to eliminate the hesitations that emerged in practice regarding capital loss or being in debt.
In addition, it has become possible for companies within the scope to increase and decrease their capital simultaneously, to avoid loss of capital or being in debt with less resources.
In addition, taking into account the problems faced by companies during the epidemic period, the scope of the exception regarding the exclusion of exchange differences arising from unrealized foreign currency liabilities in the calculations was expanded.
In addition to the aforementioned exchange difference losses, it was ensured that half of the total expenses, depreciation and personnel expenses arising from leases accrued in 2020 and 2021 are not taken into account in the calculations to be made until 2023.
